Legal Secretary and Her Responsibilities
When registering a company in Singapore, the directors of the company are responsible for appointing a legal secretary, which is called Corporate Secretary in English. A legal secretary is completely different from an ordinary secretary in an office. The board of directors of a company can appoint a person within the company who is the most qualified person as the company's legal secretary. The legal secretary must be a permanent resident of Singapore and must have relevant knowledge and relevant work experience. The position of a company's legal secretary can only be vacant in certain circumstances, such as death and resignation. However, under Singapore law, the legal secretary cannot be vacant for more than 6 months. In other words, this position must be filled within 6 months.
Duties of a Legal Secretary
- Keep the company's statutory registration documents and records. Arrange board meetings. Arrange shareholders' meetings. Submit all legal and regulatory documents related to the company. Provide administrative support in the preparation of meetings. Provide administrative and legal support to the board of directors. Ensure that company meetings comply with regulations.
